These terms and conditions/Policy for Sellers/Suppliers between ARINNA TECHWORKS PRIVATE LIMITED Private Limited, (hereinafter referred to as "Tealcart"/”the Company”) and the Seller/Supplier ("You" or "Your" or "Yourself" or "User") describe the terms on which Tealcart offers You access to the Website and the Services through the Website. The terms and conditions of the User Agreement are incorporated herein by reference.
This document is an electronic record in terms of Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.
Tealcart reserves the right to change this Website and/or alter the terms and conditions of this Policy Agreement at any time and retains the right to deny access to anyone who Tealcart believes has violated the provisions of this policy Agreement and/or the User Agreement. You are advised that any amendment to this Policy Agreement and/or to the User Agreement or rules and policies incorporated herein by reference will only be notified on the Website on publicly accessible links and you agree by accessing, browsing or using this website that this constitutes sufficient notice for all purposes against you. The revised version/ terms shall be effective from the time that Tealcart posts the same on the Website.
Scope of Supplier:
i. You will manufacture and design the product advertised by You on the said website.
ii. You alone will be responsible for ensuring availability and storage/warehousing of these products advertised.
iii. You hereby agree and assure Tealcart that You will not sell the goods advertised on the said website, at a price lower than that mentioned on the said website, on any other online platform.
iv. You hereby agree and undertake to immediately start processing the order and work towards shipping the goods to the customer, immediately upon receiving the purchase order from Tealcart.
v. You agree and undertake to deliver the product to the Buyer within the specified time and in good condition.
vi. You agree and undertake to provide tracking information to Tealcart for all orders and maintain a delivery proof.
vii. You agree and undertake to provide first access to Tealcart to all Your products and collections.
viii. You hereby agree and assure Tealcart that You will not put any personal information on the Website without prior notification to Tealcart. This includes personal address, telephone number and social media page address.
ix. You agree to go to the online shop at Tealcart and make changes if the product is out of stock.
x. Incase You decide to discount any of Your products, Tealcart must be given a written notification.
xi. You will give Tealcart full access to their marketing collaterals.
Terms of Payment:
i. Once the buyer buys the Your product on th website, Tealcart will raise a Purchase Order upon You and send it to You via e-mail.
ii. You will deliver the goods against the Purchase Order directly to the customer within the time period agreed upon.
iii. Tealcart will issue a payment release and will make the payment to You within 15 days from the date of delivery,
iv. Tealcart will retain 10% of the sale value as commission and payment gateway charges (1.90 - 2.25%) and pay rest of the total amount to You.
v. Tealcart will release payment to You only after Tealcart receives proof of delivery (in the manner prescribed by Tealcart) and the confirmation of the same by the respective customer.
vi. Tealcart will not promote or accept returns from customers unless there is a product defect or a size problem. However, You hereby agree and confirm that Tealcart shall not be liable for any claims, disputes, penalties etc. which may arise in connection with such refunds to the customer. You hereby agree and undertake to indemnify Tealcart in respect of any claims, disputes, penalties, costs and expenses arising directly or indirectly in relation to defective goods/products, non-delivery and/or late delivery of goods/products.
You agree to provide Tealcart with reserve of such amounts as may be requested by Tealcart from time to time to secure the performance of Your obligations under this Agreement for reason including (without limitation) non-delivery issues, return of products/goods, selling of banned items, or any other indications of performance problems related to Your use of Tealcart’s services. If You fail to provide Tealcart with Reserve within 7 days of receipt of notice for the same, Tealcart reserves the right to suspend and/or terminate the Tealcart services without further notice. Tealcart may use this Reserve to set off, including but not limited to, any outstanding amounts payable by You to Tealcart.
i. You shall dispatch/render the goods/products to the customer on receiving a purchase order raised by Tealcart with the order, customer and shipment details.
ii. You shall ensure that You maintain Proof of Delivery with respect to each transaction effected through the Tealcart Services for a period of at least 1 year from the date of delivery.
iii. You shall deliver the goods/products within the delivery due dates specified at the time of making the transaction on Tealcart. If You are unable to deliver the whole or any part of the transaction within the delivery due date, You shall forthwith inform the Customer and take immediate action to refund in whole or in part as per the Tealcart policy.
iv. All risks associated with the delivery of the goods and products by You shall be Yours alone and not Tealcart’s. Any and all disputes regarding quality, merchantability, non-delivery, delay in delivery or otherwise shall be resolved directly between You and the Customer without making Tealcart a party to such disputes.
Covenants of Seller:
You hereby declare, assure, and undertake the covenants as under:
i. You shall duly fulfil all transactions placed on Tealcart, in accordance with the terms and conditions on Tealcart. You undertake to ensure that the delivery is done as per specifications of the product on the website, on or before the delivery due date.
ii. You shall ensure that the product packaging is done in plain boxes/envelopes. You shall ensure that the package does not bear any logos of your brand or any other brand. The packaging shall be done according to Tealcart packaging norms.
iii. You will not offer out of stock products for sale. You shall be solely liable for quality, efficiency and merchantability of the products. Further, the rates displayed on Tealcart website shall include all applicable taxes.
iv. You shall comply with all applicable laws, rules and regulations in offering the goods/products. You shall ensure that all requisite approvals, licenses and registrations etc. in accordance with all laws, rules, regulations, guidelines in force from time to time have been obtained and are kept in full force and effect to enable You to offer products for sale. You shall not conduct any business through Tealcart or offer products thereof, in violation of any law or legal requirement of any applicable jurisdiction and shall keep Tealcart indemnified of all in this regard.
v. You shall ensure that all the operations are considered ethical and do not support or cause direct or indirect harm to any animals, humans or the environment.
vi. You promise that none of Your operations support child labour.
vii. You state that in case the goods are manufactured by You by using leather or any animal goods, the material used for such manufacture will be procured by cruelty free methods or from animals naturally demised.
viii. You shall not offer any products which are illegal or offensive or banned and/or are not in compliance with applicable laws, rules and regulations whether central, state, local or international of all jurisdiction from where the customers avail the products. Tealcart reserves the right to terminate this Agreement without further notice in the case of breach of this clause.
ix. You shall have the legal right and title to sell products offered by You to the Customers, using Tealcart services.
x. In the event any customer complaint or dissatisfaction with any product, You shall take such measures as may be required to resolve the same at Your sole cost and expenses.
xi. You shall ensure that the best service standards in the industry are adopted and shall ensure delivery of all products paid for on Tealcart, in accordance with the highest standards.
xii. You agree to put up such notices, disclaimers or warranties as may be required by Tealcart and You shall comply with such request forthwith.
xiii. You shall be solely responsible for the accuracy of all information and/or validity of the prices and any other charges and/or other information relating to the products which are offered on Tealcart.
xiv. You shall ensure to keep confidential, all information submitted by the Customers on Tealcart. The Customer shall not be required to, or asked to, disclose any confidential/personal data, which may be prejudicial to the interest of the Customer. You shall use the customer data only for the purpose of completing the transaction for which it was furnished, and shall not sell or otherwise furnish such information to third parties.
xv. You shall not engage in activities that harm the business and/or brand Tealcart.
xvi. You agree that Tealcart reserves the right to suspend the payment and/or Tealcart Services in event You fail to observe the terms and conditions herein.
Infringement of Intellectual Property of Company and Third Parties:
You must ensure that the listed items do not infringe upon the intellectual property, trade mark, copyright, trade secret or other proprietary rights or rights of publicity or privacy rights of any third party. Listings may only include content generated by You in the form of text descriptions, graphics and pictures that describe Your item for sale. You agree that use of logos or trademark owned by a third party producer or manufacturer can lead to infringement of intellectual property rights of such third party. You will be solely responsible for listing and use of such trademark or intellectual property on the Website, and will hold the Website and the Company indemnified and harmless against any claim by third parties that may arise in respect of such use. You agree that under no circumstances would you use brand names or trademarks not owned by You unless the item that you are listing on the Website carries the brand name or trademark of its original manufacturer or producer. You further agree not to use any intellectual properties of the Website or the Company including its trademarks, brand name in any manner whatsoever. You will not represent to any User or third party, in any manner, that you are affiliated or associated with the Website or the Company or that you have any right to represent the Website or the Company.
Relationship between the Parties:
i. The relationship between Tealcart and You is on principal-to-principal basis. Nothing contained herein shall be deemed to create any association, partnership, joint venture or relationship of principal and agent, or employer and employee between the parties hereto, or any affiliates or subsidiaries thereof, or to provide either Party with the right, power or authority, whether express or implied to create any such duty or obligation on behalf of the other Party.
ii. Tealcart has no connection or interest of whatsoever nature in Your business or the product offered/marketed on Tealcart. Tealcart does not in any manner take part in Your business directly or indirectly.
iii. Tealcart has no relationship with the Customers and all actions under this Agreement which may affect the Customers, are instructed by You and You alone shall be responsible to the Customers. Tealcart or anybody connected to Tealcart shall not have any responsibility or liability towards the Customers and You shall keep Tealcart fully indemnified for all times to come in this respect.
You hereby undertake and agree to indemnify, defend, and hold harmless, Tealcart - including their officers, directors and agents, from and against proceedings, claims (including third party claims), liabilities (including statutory liability), penalties, demands, costs (including without limitation legal costs), awards, damage, losses and/or expenses arising directly or indirectly, including but not limited to, as a result of:
(a) Breach or non-performance by You of any of its undertakings, warranties, covenants, declarations or obligations under this Agreement;
(b) Breach of confidential and intellectual property rights by You;
(c) Any claim or proceeding brought by the Customer or any third party against Tealcart in respect to any products or services offered by You;
(d) Any act, deed, negligence, omission, misrepresentation, default, misconduct, non-performance or fraud by You, Your employees, contractors, agents, customers or any third party;
(e) Breach of applicable laws/rules and regulations/legal requirements in force in India and/or any place from where the Customer is making the transaction and/or where the product is to be delivered; and
(f) Any fines, penalties or interest imposed directly or indirectly on Tealcart because of Your acts of omission and/or commission or transactions conducted through Tealcart website under these terms and conditions.
*The indemnities under this clause are in addition to and without prejudice to the indemnities given elsewhere in this Agreement. The indemnities given herein shall survive the termination of this Agreement
Limitation of Liability:
Tealcart shall not be liable to You for any special, incidental, indirect or consequential damages, damages from loss of profits or business opportunities even if You shall have been advised in advance of the possibility of such loss, cost or damages. In no event shall Tealcart be liable to Customers or any third party.
i. Tealcart will make all reasonable efforts to provide uninterrupted service subject to down time and regular maintenance. However notwithstanding anything in this Agreement, You acknowledge that the Tealcart website, Tealcart services may not be interruption or error free from any virus or other malicious, destructive or corrupting code, program or macro, and Tealcart disclaim all warranties, expressed or implied, written or oral, including but not limited to, warranties of merchantability and fitness of the services for a particular purpose.
ii. Although Tealcart adopts security measures it considers appropriate to offer Tealcart services, it does not assure or guarantee that no person will overcome or subvert the security measures and gain unauthorised access to the Tealcart website or service or customer data. Tealcart shall not be responsible or liable if any unauthorised person hacks into or gains access to the Tealcart service.
iii. Tealcart’s sole obligation in the event of interruption in Tealcart site or loss of use and/or access to Tealcart site shall be to use all reasonable endeavours to restore the services as soon as possible.
Settlement of Disputes and Jurisdiction:
If any dispute arises between you and Tealcart during your use of the Website or any service incidental to the Website or thereafter, in connection with the validity, interpretation, implementation or alleged breach of any provision of the Agreement and/or the rules, policies and documents, incorporated therein by reference, the dispute shall be referred to a sole arbitrator who shall be an independent and neutral third party identified by Tealcart and whose decision shall be final. The place of arbitration shall be Vadodara (Gujarat). The Arbitration & Conciliation Act, 1996, shall govern the arbitration proceedings. The arbitration proceedings shall be in the English language.
This Agreement and all rules, policies and documents incorporated by reference shall be governed and construed in accordance with the laws of India and the Courts in Vadodara shall have exclusive jurisdiction.
Purchasing an Item on Tealcart
By making a purchase from a seller on Tealcart, you agree that:
1. Each product has its unique listings, policies, processing times, and payment systems;
2. You have read the item description and shop policies before making a purchase;
3. You have submitted appropriate payment for item(s) purchased; and
4. You have provided accurate shipping information to the seller.
You also agree to comply with our Payments Policy and Delivery Policy.
Initiation and Completion of a Transaction
You as a buyer understand that, upon initiating a transaction you are entering into a legally binding and enforceable contract with the seller, to purchase the product from the seller using the payment facility. You can pay for the transaction using any payment facility available on the Website.
You, as a Buyer, shall electronically notify Payment Facility using the appropriate Tealcart Website features immediately upon Delivery or non-Delivery within the time period as provided in Policies. Non notification by You of Delivery or non-Delivery within the time period specified in the Policies shall be construed as a deemed Delivery in respect of that Transaction.
At Tealcart, we are determined to provide our customers the best service and 100% satisfaction. Hence, we focus on fulfilling every needs and queries of our customers by providing the best quality products from all over India.
Tealcart allows any product to be returned within 3 days from the delivery of the product/s ordered on Tealcart.
Disclaimer: However, return policy will vary depending on the seller’s discretion. Please refer to the return policy of each product before making a purchase.
We offer a replacement within 7 days from the date of delivery of the product/s ordered on Tealcart.
All returns and replacements must be subject to the following condition:
- Wrong product delivered/defective product: In case of a wrong delivery of the product, we will provide you the replacement depending upon the product availability. In case the product is not available we will refund your whole amount.
The product returned to us should meet the following specifications:
1. Must have the invoice.
2. Have all its original packaging and accessories, including the box, manufacturer's packaging if any, dust bags, warranty cards, authenticity labels and all other items originally included with the product(s) delivered.
3. Be in an unused condition/sellable condition.
*As soon as we have received the product, if all the above are in order, we will ship you the replacement, with no additional cost to you. You will receive an email when a replacement has been shipped out.
*In the event that the product received back by us does not meet the specifications above then the product can neither be replaced, nor can a refund be provided.
*In the event that a replacement is not available in stock, we will offer you a credit or a full cash refund.
*In the event that a replacement is available in stock, and you do not want a replacement, we will offer you a full refund either via the card you paid for (for card payment), or cash (for COD payment).
You, as a Buyer, shall be entitled to claim a refund of the Transaction Price (as your sole and exclusive remedy) in case of the following:
You do not receive the Delivery within the time period agreed in the Transaction or within the time period as provided in the Policies, whichever is earlier. In case you do not raise a refund claim using Website features within the stipulated time, than this would make you ineligible for a refund. The following are examples of Non-Delivery cases:
1. An item is unavailable.
2. An item was never sent.
3. An item was sent to an address that is not on the Tealcart receipt.
4. There is no proof that the item was shipped to the buyer’s address.
An item is Not-as-Described if it is materially different from the seller’s listing description or photos. Here are a few examples of Not-as-Described cases:
1. The item received is a different colour, model, version, or size.
2. The item has a different design or material.
3. The item was advertised as authentic but is not authentic.
4. The seller failed to disclose the fact that an item is damaged or is missing parts.
5. A buyer purchased three items but only received two.
6. The condition of the item is misrepresented.
In order to qualify as late delivery, the buyer must provide proof that all of these conditions have been met:
1. The item(s) were ordered for a specific date or event.
2. A deadline was agreed upon by the buyer and seller.
3. The item(s) are rendered useless after that date.
The transactions of the following items are considered to be ineligible:
1. Items that have been purchased in person.
2. Intangible items, services, or prohibited items.
3. Transactions where payment is not made through Tealcart’s Direct Payments platform
4. Items that are returned without a return agreement.
5. Items that have been altered, used, worn, or washed after receiving them.
6. Physical or tangible items that are not available for return because they have been destroyed or discarded by the buyer.
7. Items that are received after the agreed-upon delivery date due to shipping delays.
8. Cancelled transactions that have already resulted in a refund.
Refunds can be made at the same Issuing Bank from where the transaction was done. In case we do not have the details of your banking information, we may ask for the same from you, and you agree to provide us the information to initiate the refund process. For electronic payments, refund shall be made through payment facility using NEFT/RTGS or any other online banking/electronic funds transfer system approved by the Reserve Bank of India (RBI). Refund shall be made in India Rupees only and shall be equivalent to the transaction price received in Indian Rupees.
*Refunds shall be conditional, and subject to the buyer complying with policies.
Limitations as a Marketplace
Tealcart provides an online marketplace for buyers to find creative products and enter into transactions with sellers around the world. It is important to note, however, that Tealcart is not a part of that transaction. By shopping on Tealcart, you understand that:
1. You are not buying directly from Tealcart, but from one of the many talented sellers on Tealcart;
2. Tealcart does not pre-screen sellers and therefore does not guarantee or endorse any items sold on Tealcart or any content posted by sellers (such as photographs or language used in listings or shop policies); and
3. Each seller on Tealcart accepts different payment methods and has their own processing times, shipping methods, and shop policies.
4. In event of some technical or typographical error in which the price of the item is incorrectly displayed, the seller reserves the right to cancel your order.
As a member of the Tealcart community, you have the right to report to us about an item or shop that violates any of the Tealcart policies at firstname.lastname@example.org. Reporting will be held confidential.
Communicating with Other Tealcart Members
Tealcart platform may not be used for the following activities:
1. Sending unsolicited advertising or promotions, requests for donations, or spam;
2. Harassing or abusing another member;
3. Contacting someone after they have explicitly asked you not to; or
4. Interfering with a transaction or the business of another member.
Interference occurs when a member intentionally interferes with another member’s shop in order to drive away their business. Users (buyers and sellers) of Tealcart will not participate in activities such as:
1. Contacting another member to warn them away from a particular shop, or item;
2. Posting in public areas to demonstrate or discuss a dispute with another member; or
3. Purchasing from a seller for the sole purpose of leaving a negative review.
Use of any information available on the Website to harass other members, to support or glorify hatred towards, or otherwise demean people based upon: race, ethnicity, religion, gender, gender identity, disability, or sexual orientation is strictly prohibited. Strict action will be taken against Users indulging in prohibitive activities.
Review of an Item:
Reviews are a great way to learn about a seller’s items and reputation, help good sellers build a strong reputation, or help warn other buyers about a poor experience.
You can leave a review, including a one to five star rating and a photograph of your purchase, for 60 days after your item’s expected delivery date. The estimated delivery date is the purchase date + processing time + shipping time. You can edit your review, including the photograph, any number of times during that 60 day period.
By leaving a review or photograph, you acknowledge that:
1. Your review and/or photograph and profile information will be publicly displayed on the seller's listing and review pages.
2. Reviews and photographs may not:
a. Contain private information;
b. Contain obscene, racist, or harassing language or imagery;
c. Contain advertising or spam;
d. Be about things outside the seller’s control, such as a shipping carrier, Tealcart or a third party; or
e. Undermine the integrity of the Reviews system.
3. Extortion is not allowed on Tealcart. Any attempt to manipulate reviews through threats, intimidation, or bribery is considered extortion and is strictly prohibited on Tealcart. Examples of extortion include the following:
a. A buyer leaves a negative review in an attempt to force the seller into providing additional items that were not agreed upon in the original transaction.
b. A buyer leaves a negative review in an attempt to force the seller into providing a refund when a refund is not warrant.
By uploading a photograph to Tealcart’s website, you warrant that:
1. You own the photograph or you have the rights or permission to use the photograph; and
